Terms of Service

DigiFulfill connects to your Lazada store, matches incoming orders against a product catalog you configure, and delivers digital codes to buyers by email and, optionally, Lazada chat — automatically, without a staff member manually processing each order. You can fulfill from your own code inventory (“merchant-owned” products) or from the DigiFulfill Catalog, a range of digital products we source and deliver on your behalf at no wholesale cost to you.

• DigiFulfill is offered to businesses, not consumers — you must be authorized to act for the business you're registering.
• You're responsible for keeping your login credentials and any staff accounts you create secure, and for all activity that happens under your account.
• You must provide accurate business information and keep it current, particularly anything used for billing or payment verification.
• We may suspend or terminate an account that provides false information, is used fraudulently, or otherwise breaches these terms.

• You're solely responsible for the products you list, the accuracy of your product-to-code mappings, and the codes you upload for merchant-owned fulfillment.
• You must only sell goods you have the legal right to sell, and must comply with Lazada's own seller policies independently of these terms — DigiFulfill is a fulfillment tool, not a substitute for your obligations to Lazada or your buyers.
• You're responsible for the content of any custom email sender or chat message templates you configure, including making sure they don't misrepresent DigiFulfill or violate a buyer's rights.
• If you connect a custom SMTP sender, you're responsible for that account remaining authorized and in good standing — we'll fall back to our platform sender if it stops working, but delivery reputation for a custom domain is yours to manage.

• DigiFulfill offers a free plan with a lifetime allowance of merchant-owned order deliveries, and a paid plan with a monthly included order allowance and a per-order rate beyond it. DigiFulfill Catalog fulfillment is always free of charge to you, on either plan.
• Paid plans, per-store add-ons (such as a custom email domain or Lazada chat delivery), and additional store slots are funded from your DigiFulfill wallet. Confirming a subscription change deducts the pro-rated cost immediately and activates the feature — nothing is charged without you confirming it first.
• Your subscription renews automatically on your renewal date, drawing the full monthly total for your plan and every add-on still active at that time from your wallet. You can stop an add-on or store slot from renewing at any time; it stays active and billed through the end of the period you already paid for.
• If your wallet balance can't cover a renewal, the affected add-ons and store slots are paused automatically — your base plan itself is not disabled, and topping up your wallet lets you resubscribe.
• Wallet top-ups are settled by bank transfer or e-wallet outside the platform and credited once we've verified your proof of payment. Wallet funds are non-refundable except where required by law.

You agree not to use DigiFulfill to:

• Sell counterfeit, stolen, or illegally obtained digital goods, or codes you don't have the right to distribute.
• Circumvent, resell, or redistribute DigiFulfill Catalog codes outside of a genuine buyer order.
• Attempt to exceed your plan's included allowance through automated or fraudulent order activity.
• Interfere with, reverse-engineer, or probe the security of the service or another merchant's account.
• Use the service in a way that violates Lazada's policies, applicable law, or the rights of any third party.

We may suspend fulfillment or terminate an account engaged in any of the above.

DigiFulfill and its underlying software remain our property. You retain ownership of your product catalog, codes, and buyer-facing content you create. You grant us a limited license to store and transmit that content solely to operate the service on your behalf.

DigiFulfill integrates with services we don’t control, including Lazada’s marketplace platform and Google sign-in. Your use of those integrations is also subject to that provider’s own terms. We aren’t responsible for outages, policy changes, or account actions taken by Lazada or Google that affect your store or account access.

The service is provided “as is.” We work to fulfill orders reliably and quickly, but we don’t guarantee uninterrupted operation, and we’re not liable for delays or failures caused by Lazada, Google, our suppliers, or events outside our reasonable control. To the fullest extent permitted by law, our aggregate liability to you for any claim arising from these terms or the service is limited to the amount you paid us in the three months preceding the claim.

You agree to indemnify DigiFulfill against claims, losses, or damages arising from your products, your content, your breach of these terms, or your violation of applicable law or a third party’s rights.

You may close your account at any time. We may suspend or terminate access for a breach of these terms, non- payment, or where we reasonably believe continued access poses a risk to DigiFulfill, another merchant, or a buyer. Sections of these terms that by their nature should survive termination — including billing obligations already incurred, intellectual property, and limitation of liability — will continue to apply.

We may update these terms as the service evolves. If a change is material, we’ll notify merchants by email or an in-dashboard notice before it takes effect. Continuing to use DigiFulfill after a change takes effect means you accept the updated terms.

These terms are governed by the laws of the Philippines, without regard to conflict-of-law principles. Any dispute arising from these terms or the service will be subject to the exclusive jurisdiction of the courts of the Philippines.
